AI ethics is the philosophical framework — the principles about fairness, transparency, and accountability that should guide AI development. AI governance is the operational system that puts those principles into practice. Ethics tells you what you should care about. Governance tells you how to enforce it. Most organizations have ethics statements; far fewer have governance systems that translate those statements into policies, monitoring, and accountability.
AI agents — systems that take autonomous actions rather than just generating outputs — require governance specifically designed for autonomy. This includes: clear boundaries on what actions an agent can take without human approval, logging and auditability of every agent action, escalation paths when an agent encounters a situation outside its parameters, and regular review of agent behavior patterns. The governance model for agents is closer to managing an employee than managing a software tool.
It depends on scale, but the minimum viable governance team includes: an executive sponsor with authority to make policy decisions, a technical lead who understands AI systems, a legal or compliance representative, and a business stakeholder who represents the teams using AI. For larger organizations, dedicated AI governance roles — AI risk officer, AI ethics lead, AI operations manager — become necessary. The critical point is cross-functional representation. AI governance that's owned entirely by IT or entirely by legal will fail.
A foundational governance framework — policies, risk classification, basic monitoring, and organizational roles — can be built in 6-8 weeks. A comprehensive framework with full compliance mapping, automated monitoring, and organizational integration typically takes 3-6 months. The framework then evolves continuously as AI use cases expand and regulations change. The biggest mistake is waiting until governance is "complete" to start deploying — governance and deployment should advance in parallel.
