Terms & Conditions

These terms are written to be clear. This is still a legal document, and by engaging with us — whether through our website, a service agreement, a product purchase, or any other interaction — you are agreeing to what's written here. We update these terms when needed, and the effective date is at the bottom.

Reading our Privacy Policy is part of this deal. Agreeing to these terms means you've read it.

1. Who We Are

Human Agency is operated by Human Agency, Inc., a Delaware corporation, its subsidiaries, affiliates, and any successors or assigns (collectively, the "Company," "we," "us," or "our"). These terms govern every interaction you have with us: our website, our consulting and advisory services, our technology products, our software, our physical products, our ventures, and anything else we offer now or in the future (collectively, "Human Agency Services").

If a separate written agreement specifically governs your engagement, that agreement controls where it conflicts with these terms. Where it doesn't speak, these terms fill the gap.

2. Who Can Use Our Services

You must be at least 13 years old to use our website. Users between 13 and 18 must have a parent or legal guardian who sets up and supervises their account and approves their use.

If you're a foreign national without U.S. legal permanent resident status, you may not purchase or engage us for political messaging of any kind. Political messaging means anything advocating for the election or defeat of a candidate for public office, or soliciting funds for a political campaign or committee.

If you're a citizen or resident of Cuba, Iran, Sudan, Syria, North Korea, the Crimea region, or any other jurisdiction subject to U.S. or EU sanctions, you may not use our services for any purpose.

If your activities are subject to legal restrictions — for example, you're a nonprofit with limitations on political activity — you are responsible for ensuring your use of our services complies with those restrictions. We are not your compliance department.

3. What We Do

Human Agency offers consulting, strategy, technology development, AI systems, marketing, operations, venture-building, and other services. Our specific engagements are defined in separate statements of work, proposals, or agreements. These terms apply to all of them.

When we provide services that involve your company's operations, decisions, or public-facing work, you remain responsible for the outcomes of your business. We are a partner and a resource, not a guarantor of results, and not a substitute for your own leadership and judgment.

Where our services involve placing content, advertisements, or messages on third-party platforms, you are responsible for ensuring that content complies with those platforms' policies. We are not liable for a platform's decisions about your content.

4. How to Conduct Yourself

Whether you're using our website, working with our team, or engaging our services in any capacity, you agree to behave lawfully and in good faith. The following are prohibited: any illegal activity or facilitation of illegal activity; harassment, abuse, or threats directed at our team, contractors, or other users; publishing or misusing anyone's personal information without authorization; unauthorized use of photographs, content, or intellectual property belonging to others; fraudulent claims, misrepresentation, or impersonation; spam, malware, unauthorized data scraping, or unauthorized penetration testing; claiming endorsement by or affiliation with Human Agency without our written consent; and any conduct that creates legal exposure for us or for others.

The following are also prohibited without our express prior written consent: accessing our website or services by any automated means, including bots, crawlers, scrapers, or spiders; indexing, mirroring, or caching any portion of our website or content; using any content, data, outputs, or materials from our website or services to develop, train, fine-tune, evaluate, or improve any artificial intelligence, machine learning, or large language model system; and any other automated collection, extraction, or derivative use of our content for any purpose.

If you violate these terms, we reserve the right to terminate your access to our services immediately, pursue recovery of any damages we suffer, and take whatever legal action we deem appropriate.

5. Results and Responsibility

We do our best work. We do not guarantee specific outcomes. Human Agency is not liable for the effectiveness or success of any work we perform; revenue, profit, or business outcomes tied to our work; public or market reaction to work we perform or content we produce; regulatory, legal, or compliance outcomes related to work performed at your direction; or delays caused by your team, your vendors, third-party platforms, or circumstances outside our control.

You are responsible for the decisions you make based on our work. If you direct us to take an action, you own the outcome of that direction.

We reserve the right to decline or withhold work that we determine, in our sole discretion, violates law, these terms, or our values.

6. Content and Speech

We believe in open expression. We are not responsible for reviewing all content produced by or through our services, and our facilitation of your expression does not constitute our endorsement of it. If you encounter content that you believe is unlawful or violates these terms, report it to us and we will review it and act as we see fit. Content moderation decisions are ours alone to make.

We are not liable for damages caused by content created, placed, or distributed by clients or users, regardless of whether we reviewed it.

7. Accounts

If you create an account with us, you agree to provide accurate and complete information. Providing false or misleading information is grounds for immediate termination of your account. You may not buy, sell, or transfer your account to anyone else.

If you lose access to your account, contact us and we'll do our best to help. We are not liable if we cannot restore access.

To close your account, contact us and we will process the request. Closing your account does not extinguish obligations you've already incurred under these terms or any separate agreement.

8. Subcontracting

We may use subcontractors or partners to deliver services. Our use of subcontractors does not reduce our accountability to you under any separate agreement we've made.

9. Payment

Payment terms for specific engagements are set out in your agreement or invoice. Unless otherwise specified: invoices are due upon receipt; any amount not paid when due accrues interest at 1.5% per month (18% per year) beginning on the due date, except that if a court or arbitrator ultimately determines that a specific amount was not owed, interest will not accrue on that amount alone; we reserve the right to immediately suspend any or all services upon any unpaid invoice, without notice, and without such suspension constituting a breach of our obligations to you; we reserve the right to terminate the engagement entirely if any invoice remains unpaid for 30 days, at which point all outstanding amounts become immediately due and payable; if we are required to take legal action to collect amounts owed, you agree to reimburse our reasonable attorneys' fees and all collection costs; and for product purchases, payment is required before shipment or delivery.

Human Agency continuously invests in AI infrastructure, proprietary systems, and internal tooling that enable us to deliver faster, higher-quality, and more capable work on behalf of our clients. The Technology Services Fee reflects the market value of that investment as applied to your engagement. It is not a passthrough of any specific underlying cost. The Technology Services Fee is currently set at 20% of total labor billed per invoice period. The rate is reflected on each invoice as billed and is subject to modification under Section 22.

10. SMS Communications

If you opt into SMS communications from Human Agency, you may receive informational, instructional, or interactive messages. You can cancel at any time by texting STOP to our shortcode. We will confirm your opt-out. To re-enroll, sign up again the same way you originally did.

11. Non-Solicitation

In the course of our work together, you may be introduced to, work alongside, or become aware of Human Agency's employees, contractors, subcontractors, and strategic partners. You agree that, for a period of three (3) years following the termination or expiration of all agreements and accounts between you and Human Agency, you will not directly or indirectly solicit, recruit, hire, engage, or enter into any financial arrangement with any such individuals or entities that you became aware of through your relationship with Human Agency.

This restriction applies to you, your company, and any affiliates acting on your behalf or at your direction. It does not restrict Human Agency from engaging or hiring any of your personnel at any time.

12. Confidentiality

In the course of our engagement, you may receive non-public information about Human Agency's business, methods, technology, clients, pricing, strategies, personnel, and operations ("Human Agency Confidential Information"). You agree to keep Human Agency Confidential Information strictly confidential; use it solely for the purpose of your engagement with us; and not disclose it to any third party without our prior written consent, except to your employees or contractors who have a need to know and are bound by equivalent confidentiality obligations.

This obligation survives termination of your engagement for five (5) years, and survives indefinitely with respect to trade secrets and proprietary technology.

Human Agency does not assume any confidentiality obligations with respect to information you share with us. Sharing information with Human Agency does not restrict our use of it, subject only to our Privacy Policy.

Any confidentiality obligations that Human Agency may owe to Client arise solely from a separately executed written non-disclosure or confidentiality agreement and do not arise from these Terms. In the absence of such a separate written agreement, Human Agency has no confidentiality obligations to Client of any kind.

13. Portfolio and Likeness Rights

By working with us, you grant Human Agency an unrestricted and unlimited right to share your name, associated company or organization, your story, any likenesses, and any content or information you provide to Human Agency, including through tagging Human Agency on social media platforms, for any purpose including marketing, case studies, portfolio materials, and public communications.

You are solely responsible for ensuring our right to this information, including obtaining any necessary consents from third parties.

The rights granted above cover company-level content and your organization’s name, brand, and materials. Human Agency will not use the name, photograph, or personal likeness of specific named individuals employed by or associated with Client for public-facing marketing purposes without first obtaining separate written consent from those individuals.

14. Intellectual Property

Background IP. Human Agency brings to every engagement a body of pre-existing and independently developed intellectual property, including methodologies, frameworks, tools, software, systems, templates, processes, data, and know-how (collectively, "Background IP"). Human Agency retains sole and exclusive ownership of all Background IP. Nothing in these terms or in any engagement transfers, assigns, or licenses Background IP to you except as expressly stated below.

Foreground IP. Work product, deliverables, content, software, and other materials created by Human Agency specifically for your engagement ("Foreground IP") are owned by Human Agency. Upon full payment of all amounts owed, Human Agency grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Foreground IP solely for the internal business purpose for which it was produced. This license does not include the right to sublicense, resell, modify for redistribution, or use the Foreground IP as the basis for a competing product or service.

Residual and derivative knowledge. Human Agency retains the unrestricted right to use, develop, commercialize, and build upon any knowledge, insights, techniques, improvements, or innovations that arise from or are informed by any engagement, including the right to incorporate such learning into products, services, or work for other clients. This applies regardless of whether such knowledge was developed in connection with your specific deliverables, provided that Human Agency does not disclose your Confidential Information in doing so.

This right expressly includes artificial intelligence models, systems, agents, fine-tuned models, and capabilities developed, trained, or improved in connection with any engagement. Human Agency may incorporate such AI capabilities into its own products and platforms and offer them to other clients without restriction, provided that Human Agency does not disclose Client’s Confidential Information in doing so.

Your content. You retain ownership of content, data, and materials you provide to us. By sharing them, you grant Human Agency a perpetual, royalty-free, worldwide license to use, modify, process, and incorporate them as necessary to deliver services and advance Human Agency's business, subject to our Privacy Policy.

Your responsibilities. You represent that any content you provide to us or direct us to use is either your original work or that you have the rights to provide it. You are solely responsible for ensuring that content we create or distribute at your direction does not infringe the intellectual property, privacy, or other rights of any third party.

Prohibition on AI and derivative use. No content, data, work product, outputs, or materials produced by or obtained from Human Agency, whether from our website, our services, or any engagement, may be used to develop, train, fine-tune, benchmark, evaluate, or otherwise improve any artificial intelligence, machine learning, or large language model system. No such materials may be used as the basis for any derivative work, automated system, or competing product or service. This prohibition applies regardless of whether the content is accessed directly, through a third party, or through any automated or manual means.

Enforcement. Unauthorized use of Human Agency's intellectual property is prohibited. We will pursue all available legal remedies for infringement without notice.

15. Compliance

You are responsible for understanding and complying with all laws, regulations, and platform policies applicable to your business and to any work we perform on your behalf. This includes advertising laws, data privacy regulations, industry-specific regulations, export controls, and consumer protection laws. We are not your legal counsel. Our flagging a concern does not create an obligation on our part or relieve you of yours.

16. Indemnification

You agree to defend, indemnify, and hold harmless Human Agency and its subsidiaries, affiliates, successors, assigns, agents, employees, officers, partners, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your actions or omissions in connection with your use of our services; content, materials, or information you provide to us; work we perform at your specific direction; your violation of these terms or any applicable law or regulation; your failure to obtain required permits, file required compliance reports, or meet regulatory obligations; or any claim by a third party that your use of our services, or the content you directed us to produce or distribute, violated their rights.

This obligation survives termination of your engagement with us.

17. Disclaimer of Warranties

Human Agency Services are provided "as is" and "as available." We expressly disclaim all warranties, express or implied, including any warranty of fitness for a particular purpose, merchantability, title, non-infringement, or uninterrupted availability. This applies to consulting services, software, technology, physical products, and all other offerings.

We cannot guarantee that our services will be available without interruption, delay, or error. We are not responsible for any losses, including lost data, lost revenue, or lost business, arising from your use of or reliance on our work.

Where applicable consumer protection laws provide rights that cannot be legally waived, nothing in these terms is intended to disclaim those rights.

Without limiting the foregoing, AI outputs, model-generated content, automated recommendations, and any work product produced with the assistance of artificial intelligence are provided without any warranty of accuracy, completeness, reliability, or fitness for any particular purpose. Client assumes all risk from its use, reliance on, or implementation of AI outputs in its operations. Human Agency is not liable for any decision made or action taken based on AI-generated content, and Client’s indemnification obligations under Section 16 apply in full to any claims arising from Client’s use or implementation of AI outputs.

18. Limitation of Liability

To the fullest extent permitted by law, Human Agency and its subsidiaries, affiliates, successors, assigns, agents, employees, officers, partners, and licensors are not liable for any damages whatsoever, including punitive, indirect, incidental, special, consequential, or exemplary damages, including loss of profit, revenue, goodwill, data, use, or other intangible losses, arising out of or related to these terms or any engagement, even if we have been advised of the possibility of such damages.

In all cases, Human Agency's total aggregate liability for any claim arising out of or related to these terms or any engagement, under any theory of liability, shall not exceed the total fees you paid to Human Agency in the three (3) months immediately preceding the event giving rise to the claim.

19. Force Majeure

Neither party is liable for delays or failures in performance caused by circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, infrastructure failures, or labor disputes. The affected party must notify the other promptly and resume performance as soon as reasonably practicable.

20. Dispute Resolution

Before initiating formal proceedings, the party with a dispute must notify the other in writing at finance@humanagency.com and provide 30 days to attempt informal resolution. This requirement does not apply where immediate injunctive relief is necessary.

If informal resolution fails, disputes will be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, except that disputes arising from consumer transactions will be governed by the JAMS Consumer Arbitration Minimum Standards, with filing fees allocated per the applicable JAMS fee schedule. Arbitration will be conducted in St. Louis, Missouri. The arbitrator's decision is final and binding on both parties. The prevailing party is entitled to recover reasonable attorneys' fees and costs.

You waive any right to bring or participate in any class action, collective action, or representative proceeding.

Claims seeking injunctive or other equitable relief to protect Human Agency's intellectual property, confidential information, or to collect amounts owed may be brought in any court of competent jurisdiction without going through arbitration first.

21. Governing Law

These terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any court proceedings permitted under these terms shall be brought in courts located in Missouri.

22. Modifications

We reserve the right to modify these terms at any time, for any reason, without prior notice. The current version of these terms is always posted on our website. It is your responsibility to review these terms periodically. Your continued use of our services, or your continued engagement with us in any capacity, after any modification constitutes your acceptance of the revised terms. If you do not agree to a modification, your sole remedy is to stop using our services.

Modifications apply to all users and engagements going forward from the date they are posted. Previous arrangements, agreements, and deals between you and Human Agency are subject to these terms unless a separate written agreement expressly provides otherwise.

23. Severability and Waiver

If any provision of these terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining terms will continue in full force and effect. A breach of one provision does not excuse or permit breach of any other. Our failure to enforce any right under these terms at any time is not a waiver of that right.

24. Entire Agreement

For matters not governed by a separate written agreement, these terms constitute the entire agreement between you and Human Agency and supersede all prior arrangements, discussions, representations, and agreements on the same subjects.
